ACTION(S):
Authorize the
Director of OC Public Works or designee to execute the following amendments:
1. Amendment No. 1
with The Code Group, Inc. dba VCA Code Group, Annealta Group, GHD Inc., Bowman
Infrastructure Engineers Ltd., Environmental Science Associates
2. Amendment No. 2
with Moore Iacofano Goltsman, Incorporated, dba MIG Inc.
to renew the
aggregate contracts for On-Call Architect-Engineer Services for OC Development
Services - General Services, effective July 26, 2024, through July 25, 2026, in
an aggregate amount not to exceed $6,000,000, for a revised cumulative
aggregate total amount not to exceed $15,000,000.
SUMMARY:
Approval of
amendments to renew the aggregate contracts for On-Call Architect-Engineer
Services for OC Development Services - General Services will allow OC Public
Works to meet ongoing and future business needs for private property and right
of way development projects and to supplement staffing needs and avoid gaps in
service by maintaining reliable access to vendor resources, thus ensuring
continuous and responsive service to the unincorporated areas in the County of
Orange
BACKGROUND
INFORMATION:
On-Call
Architect-Engineer Services for OC Development Services - General Services
(Services) are used to assist the County of Orange (County) in providing
building safety and engineering, planning, environmental and/or inspection
services support based upon workload requirements. The proposed aggregate
contract for Services will allow for greater flexibility and efficiency, as
many of the development projects are schedule driven due to regulatory permit
issues and/or funding constraints. In order to meet the stringent project
deadlines and to continue efficient operation and management, it is necessary
to retain Services to supplement staff and provide specialized Services.
On February 5,
2021, OC Public Works issued a Request for Qualifications on the County online
bidding system to establish a Qualified Vendor List for Services. Prior Board
of Supervisors (Board) and Director of OC Public Works or designee (Designee)
actions related to aggregate Contract MA-080-21011388 (Contracts) are
summarized in the table below.

OC Public Works is
procuring these Services in accordance with the 2020 Design and Construction Procurement
Policy Manual (DCPM), Section 3.3-108. The Orange County Preference Policy is
not applicable to contracts procured in accordance with the DCPM.

OC Public Works is
recommending approval of Amendment No. 1 to renew the aggregate Contracts with
VCA, Annealta Group, GHD Inc., Bowman and ESA and Amendment No. 2 with MIG for
Services, effective July 26, 2024, through July 25, 2026, in an aggregate amount
not to exceed $6 million for a revised cumulative aggregate total amount not to
exceed $15 million. The work will be assigned to whichever contractor is
available and, depending upon the request, work can be assigned to multiple
contractors at the same time. The requested renewal of the existing Contracts
does not expand the scope of Services to be provided by the Contractors.
The Contractors'
performances have been confirmed as satisfactory. OC Public Works has verified
there are no concerns that must be addressed with respect to Contractors
ownerships/names, litigation status or conflicts with County interests. VCA,
Annealta Group and Bowman are based in Orange County. GHD Inc. is located in
Sacramento County and ESA and MIG are located in San Francisco County.
The contracts with
VCA and GHD Inc. include subcontractors. The contracts with the remaining
contractors do not currently include subcontractors or pass through to other
providers. See Attachment M for the Contract Summary Forms.
Compliance
with CEQA:
This action is not a project within the meaning of CEQA Guidelines Section
15378 and is therefore not subject to CEQA since it does not have the potential
for resulting in either a direct physical change in the environment, or a
reasonably foreseeable indirect physical change in the environment. The
approval of this agenda item does not commit the County to a definite course of
action in regard to a project since the action is an approval of amendments to
aggregate Contracts for Services. This proposed activity is therefore not
subject to CEQA. Any future action connected to this approval that constitutes
a project will be reviewed for compliance with CEQA.
FINANCIAL IMPACT:
Appropriations
for the aggregate Contracts will be included in the FY 2024-25 Budget and will
be included in the budgeting process for future years for the following Budget
Controls.

The proposed aggregate Contracts include
provisions stating the Contracts are subject to, and contingent upon,
applicable budgetary appropriations approved by the Board for each fiscal year
during the term of the Contracts. If such appropriations are not approved, the
Contracts may be immediately terminated without penalty to the County.
