Managed Career Solutions, SPC for Title V Senior Community Service Employment
Program services to update the contractor’s name from SER-Jobs for Progress,
Inc.-San Joaquin Valley to Managed Career Solutions, SPC, update certain
obligations and information within the Contract, and increase the amount by
$802,870, effective July 1, 2024, through June 30, 2025, for a new contract
total amount not to exceed $2,414,307. |

amendment(s) to the Contract with Managed Career Solutions, SPC that are
ministerial, non-material and administrative, in accordance with updated
and/or revised California Department of Aging guidance, state contract terms
and regulations from California Department of Aging and/or increase the
contract amount up to the maximum annual allocation to be awarded to the
County from the California Department of Aging for the term of the Contract
provided the contract amendment(s) are approved as to form by the Office of
the County Counsel. |
SUMMARY:
Approval of the Assignment,
Assumption and Consent Agreement and Amendment with Managed Career Solutions,
SPC to administer the Senior Community Service Employment Program will provide
employment and training services for older adults that will assist in improving
their long-term employment outcomes.
BACKGROUND
INFORMATION:
The Title V Senior Community
Service Employment Program (SCSEP) provides persons who are 55 years and older
with part-time, work-based training opportunities in local companies and
community service agencies and assists program participants in obtaining unsubsidized
employment. In addition to training with the local host agencies, participants
have access to a variety of supportive services, such as personal and
job-related counseling, job search assistance and job referrals. SCSEP is a
program funded through California Department of Aging (CDA).
On January 18, 2022, OC Community
Resources/Office on Aging (OCCR/OoA) released Request for Proposal (RFP)
#012-222711-NC for SCSEP through BidSync.com. Proposals were received from
three applicants, one of which was deemed non-responsive. Responsive applicants
were evaluated and scored by a qualified evaluation panel on the following
criteria: Applicant’s Experience; Qualifications of Personnel; Adequacy of
Facility, Program Plan and Methodology; Coordination of Resources; and Budget
Price Sheet. SER-Jobs for Progress, Inc.-San Joaquin Valley (SER) and Managed
Career Solutions, SPC (MCS) were deemed eligible providers.
Based on the evaluation panel’s
recommendation, the initial contract and subsequent annual renewal were awarded
to SER and approved by the Board of Supervisors (Board) on May 24, 2022, and
June 6, 2023, respectively. However, SER has been challenged in meeting
contract performance and fiscal standards throughout their contract term. As
SER was a new contractor, OCCR/OoA focused on program implementation and
processes during the first year of the contract. During the second year of the
contract, SER and OCCR/OoA determined that the continual issues SER was having
with performance could not be overcome. SER and OCCR/OoA mutually agreed to end
the contract with SER in the best interest of service delivery for the County
and assign the contract to MCS.
MCS is an experienced job training and
workforce provider, currently providing Workforce Innovation and Opportunity
Act programs in Los Angeles County as well as being a previous contractor for
workforce programs in Orange County. OCCR/OoA staff have worked closely with
SER and MCS to prepare for the transition of program participants.
SCSEP core performance measures are set by
the U.S. Department of Labor as shown in the table below; therefore, the
performance targets in the SER contract will carry over to the contract with
MCS.

OCCR/OoA is requesting Board approval of
the Assignment, Assumption and Consent Agreement (Assignment) to transfer and
assign the Contract for Title V SCSEP services, and the rights, duties and
obligations thereunder, from SER to MCS and Amendment Number Eight (Amendment)
to amend the contractor’s name and update related information with MCS.
Approval of Assignment and Amendment will ensure the continued provision of
SCSEP services in Orange County for the remainder of FY 2023-24 and FY 2024-25.
All original Terms and Conditions of the Contract remain unchanged.
OCCR has verified there are no concerns
that must be addressed with respect to Contractor's ownership/name, litigation
status or conflicts with County interests. The Contract does not include
subcontractors. See Attachment D for Contract Summary Form. The Orange County
Preference Policy is not applicable to this contract award.
OCCR/OoA is also requesting delegated
authority to execute future amendments that are ministerial, non-material and
administrative to the contract due to changes in CDA mandates or regulations
and/or increase the contract amount up to the maximum annual allocation from
CDA for the term of the contract to quickly respond to program and operational
changes.
This Assignment is being brought to the
Board less than 30 days prior to the effective date to ensure there is no gap
in service to our clients and to ensure adequate time to achieve fiscal year
program deliverables.
FINANCIAL
IMPACT:
Appropriations for this Contract
are included in Budget Control 012 FY 2024-25 Budget and will be included in
the budgeting process for future years.
The proposed Contract includes a provision
stating that the Contract is subject to, and contingent upon, applicable
budgetary appropriations approved by the Board for each fiscal year during the
term of the Contract. If such appropriations are not approved, the Contract may
be immediately terminated without penalty to the County.
