Authorize the County Procurement Officer or Deputized designee to execute sole source Contract with Vigilant Systems, LLC for Two Camera License Plate Reader Trailers with support and maintenance in an amount not to exceed $74,865 for the term of February 15, 2023, through February 14, 2027. |

SUMMARY:
Approval of the Contract will provide Two Camera License Plate Reader Trailers with support and maintenance which will allow the District Attorney-Public Administrator through the Orange County Auto Theft Task Force to utilize existing technology to strategically combat vehicle theft throughout Orange County.
BACKGROUND INFORMATION:
The Office of the District Attorney-Public Administrator (DA) through the Orange County Auto Theft Task Force (OCATT) continuously evaluates new and existing technology to increase efficiency and effectiveness in reducing auto theft and apprehending auto theft suspects. Automated License Plate Reader (ALPR) technology is currently in use throughout Orange County. OCATT has worked with allied agencies utilizing ALPR systems which have proven to be an effective tool in auto theft investigations. The procurement of the ALPR trailers will allow OCATT to strategically deploy the equipment in problem locations where fixed ALPR systems are otherwise unavailable. The equipment will be strategically deployed in collaboration with Orange County law enforcement agencies to recover stolen vehicles and apprehend vehicle theft suspects.
The DA has verified there are no concerns that must be addressed with respect to Contractor’s ownership/name, litigation status or conflicts with County interests. The DA is requesting the County of Orange Board of Supervisor's approval to issue and execute Contract with Vigilant Systems, LLC (Vigilant) for Two Camera License Plate Reader Trailers as specified in the Recommended Action. This Contract was issued as a Sole Source Contract and the Sole Source Proprietary form is attached as Attachment C, as Vigilant is the only company that can provide the exact specifications that the DA needs for its operations. The Orange County Preference Policy is not applicable to this contract award.
This Contract does not currently include subcontractors or pass through to other providers. See Attachment B for Contract Summary Form.
This Contract does not contain any insurance requirements and contains an Indemnification provision for the removal of personal injury or property damage arising from or related to services. In addition, personal injury, death direct damages to tangible property, or data breach of PII arising from Contractor’s negligence. Contractor damages related to data breach limited to two (2) times the total fees paid and for indirect or consequential damages only. The County Executive Office, Risk Management has reviewed these non-standard terms and conditions and found them to be acceptable for these services. A Risk Assessment or Modification of Terms Form is attached as Attachment D.
This Contract is being presented to the Board with less than 30 days prior to the commencement of the Contract due to the time needed for Vigilant and the DA to complete the negotiations of all contract terms and conditions.
This Contract will be administered in conjunction with the DA’s ALPR Policy, a copy of which is attached as Attachment E.
FINANCIAL IMPACT:
Appropriations and Revenue for this Contract are included within the District Attorney's FY 2022-23 Budget for Fund 122, Budget Control 122 and will be included in the budgeting process for future years. The Contract contains language allowing the County to terminate the Contract, reduce the level of services and/or renegotiate the levels of services to be provided.
