RECOMMENDED
ACTION(S):
Retroactively
authorize the County Procurement Officer or Deputized designee to execute
Amendment Number One to renew the NTT America, Inc., contract for
telecommunication technology solution services and products utilizing the Fast
Open Contracts Utilization Services Contract No. 2021360, and to add several
Terms and Conditions, and to increase the not to exceed amount by $10,000,000,
in order to maintain various systems, effective November 16, 2024, through
November 15, 2026, in the not to exceed amount of $40,000,000.
SUMMARY:
Retroactive
approval of Amendment Number One to the contract with NTT America, Inc. will
allow the Sheriff-Coroner Department to continue to competitively acquire
telecommunication technology solutions and products at an approved statewide
discounted price, and to be proactive and prepared for potential network
outages to maintain secure systems.
BACKGROUND
INFORMATION:
The Fast Open
Contracts Utilization Services (FOCUS) contract allows Sheriff's staff to
procure various telecommunication technologies from approved vendors such as
routers, switches, firewalls and wireless access points providing secure and
efficient connectivity to the internet, intranet and local private networks.
The contract allows Sheriff to refresh all network and network security
end-of-life infrastructure equipment and warranties. Sheriff is currently at 85
percent end of life for all its networking infrastructure equipment and
warranties. Also, Sheriff is in the process of planning and implementing
solutions for critical new and ongoing projects such as the jail hardening
network equipment, security of Sheriff’s wireless system and maintaining the security
and infrastructure of its network system.
The County of
Merced entered into a FOCUS contract for network infrastructure equipment, for
the term of November 16, 2021, through November 15, 2024. The issuing agency
did not have a maximum obligation established for their contract. The County
Procurement Office (CPO) authorized the Sheriff-Coroner Department (Sheriff)
staff to pursue a subordinate contract with FOCUS, with Board of Supervisors
(Board) approval.
On April 21, 2022,
Board approved the subordinate contract with NTT America, Inc. (NTT) for the
term of April 12, 2022, through November 15, 2024, in the amount of $15
million.
Sheriff now requests Board retroactively
approve Amendment Number One to the subordinate contract with NTT to add additional
Terms and Conditions Paragraph 9. Compliance with Laws, Paragraph 10. Conflict
of Interest - County Personnel, and Paragraph 12. Sub-Contracting, effective
November 16, 2024, through November 15, 2026, as noted in the Recommended
Action. This Amendment Number One is submitted for Board approval retroactively
due to extended negotiations by the issuing agency. This contract does not
include subcontractors or pass through to other providers. See Attachment B for
Contract Summary. The County of Orange Preference Policy is not applicable to
this cooperative amendment.
NTT America, Inc.
met all the product specifications within that FOCUS contract. Contractor
performance has been confirmed as at least satisfactory. Sheriff has verified that there are no
concerns that must be addressed with respect to contractor's ownership/name,
litigation status or conflicts with County interests. Sheriff has conducted a due
diligence check required by the revised 2024 Contract Policy Manual.
FINANCIAL IMPACT:
Appropriations for
this contract are included in the Sheriff-Coroner's Budget Control 060 FY
2024-25 Budget and will be included in the budgeting process for future fiscal
years. The contract contains language allowing the Sheriff-Coroner Department
to terminate the contract without penalty with cause or after 30 days of
written notice without cause in the event that funding is reduced and/or not
available to continue funding the contract.
