RECOMMENDED ACTION(S):

 

Authorize and direct the County Chief Information Officer or designee to execute Amendment Number 13 to the Master Services Agreement between the County of Orange and Science Applications International Corporation for Data Center Operations, Service Desk, Desktop Support and Applications Services, reflecting a decrease of $354,084 in the cumulative agreement value for the 6-year term of the agreement, for a new estimated cumulative total of $125,764,541.

 

 

 

SUMMARY:

 

Approval of Amendment Number 13 to Master Services Agreement (MA-017-13011864) between the County of Orange and Science Applications International Corporation for Data Center Operations, Service Desk, Desktop Support and Applications Services will remove outdated and unused obligations related to Science Applications International Corporation’s oversight of Atos Governmental IT Outsourcing Services, LLC and make certain administrative changes.

 

 

BACKGROUND INFORMATION:

 

On May 14, 2013, the Board of Supervisors (Board) approved an approximately five-year Master Services Agreement with Science Applications International Corporation (SAIC) for Scope 1 services (MA-017-13011864) that included Data Center Operations, Service Desk, Desktop Support and Applications Services (the MSA).  The MSA provided for a four-month period for transitioning SAIC into the County of Orange (County) at the beginning of the Agreement, five Contract Years of services, two optional extension years of services (Contract Year 6 and Contract Year 7), and the option to pay for additional time and services when the County transitions out of the MSA at the conclusion of the contract depending on the County’s needs and future agreements with SAIC.

 

Previously, on June 5, 2018, the Board approved Amendment Number 12 to the MSA, which extended the MSA for the first optional year (Contract Year 6) and moved the MSA’s expiration date from February 2, 2019 to February 2, 2020. 

 

Removal of Unused Atos Transformation Oversight Support Obligations

 

The MSA originally included certain oversight obligations related to the County’s network vendor, Atos Governmental IT Outsourcing Services, LLC (Atos) (formerly Xerox).  Due to changes in the County’s Voice over Internet Protocol (VoIP) Transformation project, and other reasons, these services were suspended.  On September 13, 2016, the Board approved Amendment Number 8 to the MSA, which eliminated SAIC’s provision of, and billing for, the oversight support services effective October 31, 2016.  Notwithstanding the cessation of these services, descriptions of the services and their pricing were retained in the MSA to allow the County the option to re-instate the services at a later date.  Because Atos’s VoIP transformation activities are nearing completion and the oversight services have not been required for nearly two years and are outdated, OCIT believes the service is no longer necessary and will not be re-instated at a later date.

 

Execution of Amendment Number 13 will remove the suspended oversight support services by making the following contract changes:

 

1.

Schedule 1 (Relationship Management):  Modified to reflect the deletion of Section 6 (Management of Network Vendor Roles and Responsibilities) which covered Atos management and oversight responsibilities.

2.

Appendix 3.1 (SOW Pricing) to Schedule 3:  Modified to reflect the deletion of the Atos Oversight Resource Unit.

3.

Attachment L (Reports):  Modified to reflect the deletion of the Xerox Oversight Reporting requirement.

 

The forgoing changes will not cost the County additional money and, as described in the Financial Impact Section of the ASR, will allow for the elimination of an unused placeholder resource unit in the MSA’s pricing document. 

 

Administrative Change 

 

During a recent review of the MSA, an inadvertent error was found and requires correction.  Specifically, Amendment Number 13’s Appendix 3.1 (SOW Pricing) to Schedule 3 corrects the inadvertent exclusion of a fee for a software application from the Optional Services total.

 

 

 

FINANCIAL IMPACT:

 

The table below shows the estimated annual MSA amounts for the remaining term of the MSA, compared to the previous Amendment Number 12. The variance reflects a total decrease of $354,084 under Amendment 13 due to: (1) the deletion of the Atos Oversight Resource Unit ($518,160); and (2) the correction to the Optional Services Fee Total due to inadvertent exclusion of a Resource Unit Fee for a certain software application ($164,076). Please note that the actual financial impact will be dependent upon the County’s actual service usage for base services and work orders which may be increased or decreased according to the terms of the MSA.

 

 

Appropriations and Revenue for this MSA are included in the FY 2018-19 Budget for Fund 289, OCIT Countywide Services, and will be included in the budgeting process for future fiscal years.  This MSA contains language allowing OCIT to terminate the agreement, reduce the level of services, and/or renegotiate the levels of services to be provided.
