RECOMMENDED ACTION(S):

 

 

1.

Authorize the Director of OC Public Works or designee to execute Amendment #2 to the Agreement for On-Call Architect-Engineer Environmental Site Assessment-Phase 1, which approves of and amends to reflect, the corporate name change of Amec Foster Wheeler Environment & Infrastructure, Inc. to Wood Environment & Infrastructure Solutions, effective April 16, 2018.

Authorize the Director of OC Public Works or designee to execute Amendment #1 to the Agreement for On-Call Architect-Engineer Construction Testing & Inspection Services-Industrial Hygiene Services for Asbestos and Other Hazardous Material Abatement Project Management, Testing and Surveys, which approves of and amends to reflect, the corporate name change of Amec Foster Wheeler Environment & Infrastructure, Inc. to Wood Environment & Infrastructure Solutions, Inc., effective April 16, 2018.

Authorize the Director of OC Public Works or designee to execute Amendment #1 to the Contract for On-Call Water Quality & Hydrologic Monitoring & Assessment, which approves of and amends to reflect, the corporate name change of Amec Foster Wheeler Environment & Infrastructure, Inc. to Wood Environment & Infrastructure Solutions, Inc., effective April 16, 2018.

 

 

 

 

SUMMARY:

 

Approval of the Amendments to the five Agreements/Contracts will allow the County of Orange to consent to the corporate name change of Amec Foster Wheeler Environment & Infrastructure, Inc. to Wood Environment & Infrastructure Solutions, Inc., at no additional cost or loss in service.

 

 

 

BACKGROUND INFORMATION:

 

On May 12, 2015, the Board of Supervisors (Board) approved the following Agreements/Contracts with Amec Foster Wheeler Environment & Infrastructure, Inc. (AFWE&I): Agreement MA-080-15012019 for On-Call Architect-Engineer (A-E) Environmental Site Assessment-Phase 1; Agreement MA-080-15012105 for On-Call A-E Construction Testing & Inspection Services-Industrial Hygiene Services for Asbestos and Other Hazardous Material Abatement Project Management, Testing and Surveys; Contract MA-080-16011241 for On-Call A-E Construction Testing & Inspection Services-Asbestos & Lead Services and Contract MA-080-16012307 for On-Call A-E for Construction Testing & Inspection Services-Geotechnical Services. On March 13, 2018, the Board also approved Contract MA-080-18010929 with AFWE&I for On-Call Water Quality & Hydrologic Monitoring & Assessment.

 

On July 5, 2018, the AFWE&I submitted a letter to the County of Orange (County) informing the County that John Wood Group PLC acquired their parent company Amec Foster Wheeler PLC. AFWE&I subsequently changed their name to Wood Environment & Infrastructure Solutions, Inc. (WE&IS), effective April 16, 2018.

 

WE&IS indicated its desire to continue providing services. OC Public Works compiled a list of Agreements/Contracts that have been awarded to AFWE&I:

WE&IS has verified that the acquisition of AFWE&I's parent company does not affect the staffing or level of service as promised in the above mentioned Agreements/Contracts. AFWE&I had been providing exceptional services under these Agreements/Contracts and will continue to do so as WE&IS without any reduction in service or quality. Approval of these Amendments will allow WE&IS to continue to provide services pursuant to these existing Agreements/Contracts, which are necessary for the completion of County projects. All Agreements/Contracts terms and conditions shall remain unchanged.

 

Compliance with CEQA: This action is not a project within the meaning of CEQA Guidelines Section 15378 and is therefore not subject to CEQA since it does not have the potential for resulting in either a direct physical change in the environment or a reasonably foreseeable indirect physical change in the environment. The approval of this agenda item does not commit the County to a definite course of action in regard to a project since it involves the execution of Amendments to five Agreements/Contracts which allow the County to amend the Agreements/Contracts to reflect the corporate name change of AFWE&I to WE&IS. This proposed activity is therefore not subject to CEQA. Any future action connected to this approval that constitutes a project will be reviewed for compliance with CEQA.
