RECOMMENDED ACTION(S):
Authorize the County Purchasing Agent or authorized Deputy to execute Master Agreement with AT&T Corp., Inc. for Network Equipment Maintenance in an amount not to exceed $161,200 effective July 1, 2016 through June 30, 2017, renewable for two additional one year terms.
SUMMARY:
The Health Care Agency requests approval of the Master Agreement with AT&T Corp., Inc. for the continued support and maintenance for the Health Care Agency network equipment.
BACKGROUND INFORMATION:
The Health Care Agency (HCA) has utilized AT&T Corp., Inc. for providing support and maintenance for the HCA network equipment in the past years, and is proposing to continue to contract with AT&T Corp., Inc. for these services. This vendor is on the selection list of Merced County's Fast Open Contracts Utilization Services (FOCUS) contract, developed through their competitive bidding process to provide network equipment and maintenance support services.
The purpose of the FOCUS contract is to provide the means for counties, cities, schools, special districts, and other governmental entities in California and nationwide to purchase their needed telecommunications and network technology services and solutions through a formally bid contractual relationship. FOCUS also provides means for governments to reduce the costs of procurement while leveraging their funds with other government entities to achieve greater buying power.
This Master Agreement is necessary to continue support and maintenance services for HCA’s network equipment until the Orange County Information Technology Managed Services Scope 2 related network transformation event is fully completed. This transformation is being conducted site by site based on a schedule. When responsibility for support and maintenance shifts to the County Scope 2 vendor (Atos) for any equipment, these items will be removed from this contract. The overall schedule for completion of the transformation is currently targeted for second quarter of 2017. There has been a decrease of $42,944 from last year in this new Master Agreement as a result of transformed sites which are now on Atos network equipment.
This Master Agreement contains a limitation of liability and mutual indemnification provision that varies from the County standard provisions. CEO/Risk Management has reviewed both provisions and has determined them to be acceptable for these services.
The Master Agreement does not include subcontractors or pass through provisions to other providers. See Attachment B Contract Summary Form.
The Health Care Agency requests that the Board authorize the County Purchasing Agent or authorized Deputy to execute Master Agreement MA-042-16011562 with AT&T Corp., Inc. as referenced in the Recommended Action.
FINANCIAL IMPACT:
This Master Agreement is included in the Health Care Agency's FY 2016-17 Requested Budget and will be included in the budgeting process for FY 2017-18 and 2018-19. This agreement contains language allowing the agency/department to terminate the contract, reduce the level of services, and/or renegotiate the levels of services to be provided should funding become unavailable.
