RECOMMENDED ACTION(S):

 

 

1.

Authorize the County Procurement Officer or authorized Deputy to execute retroactive Assignment, Novation and Consent Agreement effecting an assignment of the contract for original equipment manufacturer commercial kitchen parts to Parts Town, LLC formerly known as Heritage Food Service Group, effective November 2, 2020.

 

2.

Authorize the County Procurement Officer or authorized Deputy to execute retroactive Amendment Number Six to the contract with Parts Town, LLC for original equipment manufacturer commercial kitchen parts to incorporate the assignment of the contract and reflect the vendor's name change to Parts Town, LLC, formerly known as Heritage Food Service Group, effective November 2, 2020. 

 

 

 

 

 

SUMMARY:

 

Retroactive approval of the Assignment, Novation and Consent Agreement and Amendment Number Six to the contract with Parts Town, LLC for original equipment manufacturer kitchen parts will allow the Sheriff-Coroner Department to continue to contract with Parts Town, LLC to purchase kitchen parts for commercial equipment made by various manufacturers. 

 

 

 

BACKGROUND INFORMATION:

 

The contract with Heritage Food Service Group (now Parts Town, LLC) provides original equipment manufacturer (OEM) kitchen parts.  The Sheriff-Coroner Department (Sheriff) has multiple pieces of commercial kitchen equipment made by various manufactures such as ovens, dishwashers, toasters, food distribution carts and slicers.  All equipment is maintained and repaired in-house by the County who requires a dependable and reliable source for aftermarket repair parts utilized for repairs.

In November 2020, Sheriff received a letter of acquisition and new W9 indicating that Heritage Food Service Group and Parts Town, LLC merged and was operating under the latter’s name and tax identification number.  The contractor desires to continue providing services pursuant to the contract for OEM kitchen parts and has agreed to be bound by all terms and conditions of the contract. The contract will remain unaltered at this time, with obligations and rights assumed under the contractor’s new name. 

 

Sheriff now requests Board of Supervisors approval to authorize the County Procurement Officer or authorized Deputy to execute the retroactive Assignment, Novation and Consent Agreement and Amendment Number Six to the contract for OEM kitchen parts to effectuate and incorporate the assignment and amend the contract to reflect the vendor's name change to Parts Town, LLC, effective November 2, 2020, for the current contract term of June 8, 2020, through June 7, 2021.  Sheriff seeks retroactive approval to ensure the ability to pay invoices on the contract since notification of the acquisition was not received until after it had already taken place.  This contract does not currently include subcontractors or pass through to other providers (see Attachment C for the Contract Summary Form).

 

 

 

 

 

FINANCIAL IMPACT:

 

Amendment Number Six has no financial impact as it only amends the contract to reflect the vendor's name change.
