RECOMMENDED ACTION(S):

 

Ratify First Amendment to Agreement with El Modena Family Resource Center to remove YMCA of Orange and replace with YMCA of Orange County effective June 21, 2019, with no increase in the maximum obligation and no change to the contract term.

 

 

 

 

SUMMARY:

 

Approval of the First Amendment to the Agreement to remove the YMCA of Orange and replace with the YMCA of Orange County at the El Modena Family Resource Center will allow for the continued provision of out-of-school time services at this program.

 

 

 

BACKGROUND INFORMATION:

 

The Social Services Agency (SSA) is requesting the Board of Supervisors’ (Board) ratification of an Amendment to the Agreement for services at the El Modena Family Resource Center (EMFRC) to remove YMCA of Orange and replace with YMCA of Orange County for the provision of out-of-school time services at the EMFRC.

 

On November 7, 2018, SSA received notification from YMCA of Orange that they would be merging with the YMCA of Orange County, a separate and distinct agency.

 

On January 30, 2019, SSA received notification from YMCA of Orange County that the merger would take place once approval was received from the California Attorney General’s office.  As such, SSA was expecting to receive notification of an Agreement of Merger in order to proceed with the Assignment of Agreement from YMCA of Orange to YMCA of Orange County.  Instead, on July 12, 2019, SSA received notification from YMCA of Orange County that a Certificate of Dissolution was filed on June 21, 2019, with the California Secretary of State’s office.  As YMCA of Orange was no longer a recognized entity due to the Certificate of Dissolution, SSA proceeded with this amendment to the Agreement in order to transfer the contractual obligations to YMCA of Orange County. 

 

YMCA of Orange provided out-of-school time services at EMFRC designed to provide participants with activities, such as in the areas of Science, Technology, Engineering and Mathematics (STEM) education, during after school and non-school hours.  EMFRC collaborative partners are in agreement to work with YMCA of Orange County, which has been providing out-of-school-time services during the transition without interruption to services since November 2018.  YMCA of Orange County will continue to provide out-of-school time services until this Agreement expires on June 30, 2020.

 

The current Agreement was approved by the Board on June 2, 2015, for a total maximum obligation of $1,500,000, for the period July 1, 2015, through June 30, 2020, for the EMFRC team of the Community Action Partnership of Orange County (CAPOC), Family Assessment Counseling and Education Services (FACES), Inc., People for Irvine Community Health DBA 2-1-1 Orange County (211OC), Women’s Transitional Living Center, Inc. (WTLC) and YMCA of Orange.  A new Request for Proposals was issued on July 8, 2019, to solicit proposals for Families and Communities Together (FaCT) Family Resource Center Services for the period of July 1, 2020, through July 1, 2023, renewable for two additional one-year terms. SSA will be returning to the Board this fiscal year for selection and approval of new FaCT agreements beginning July 1, 2020.

 

YMCA of Orange County is a non-profit organization with over 21 years of experience supporting low-income families by providing a safe and educational after school environment.  YMCA of Orange County serves communities through six Health & Wellness locations, two program centers, an aquatics and soccer complex, numerous community services and before- & after-school program centers.  Annually, YMCA of Orange County serves over 61,000 individuals, children and families.  They also provide community service support for adults and youth with developmental disabilities.

 

Outcomes

 

SSA continues to work with the YMCA to ensure participants receive appropriate services to meet their educational needs.  As shown in the table below, outcomes have increased since YMCA of Orange County took over service provision.  YMCA of Orange County has achieved 85 percent of their annual goal in the first two months of FY 2019-20.

FINANCIAL IMPACT:

 

YMCA of Orange’s portion of the EMFRC’s budget was $37,195 per fiscal year.  YMCA of Orange County’s allocation will remain at $37,195 for FY 2019-20 for the provision of out-of-school time services.

 

Contingency of Funds

The Contractors acknowledge funding or portions of funding for these Agreements may be contingent upon state and federal budget approval; receipt of funds from and/or obligation of funds by State of California or the Federal Government to the County; and inclusion of sufficient funding for the services hereunder in the budget approval by the Board for the term of these Agreements.  If such approval, funding or appropriations are not forthcoming, or are otherwise limited, the County may immediately terminate or modify these Agreements without penalty.
