RECOMMENDED ACTION(S):

 

Authorize the County Procurement Officer or Deputized designee to execute Amendment Number One for the assignment of the contract for the Kofax and Open Text Software from Nexlogica LLC to Teknita LLC, effective upon Board of Supervisors approval and the execution of all necessary signatures.

 

 

 

 

SUMMARY:

 

Approval of Amendment Number One for the Assignment of contract from Nexlogica LLC to Teknita LLC will allow the Sheriff-Coroner Department to continue to receive contracted services.

 

 

 

BACKGROUND INFORMATION:

 

On April 27, 2023, the Sheriff-Coroner Department (Sheriff) staff approved a contract for the Kofax and Open Text Software, for the term of April 27, 2023, through April 26, 2026, in the not to exceed contract amount of $91,698, renewable for two additional one-year terms. The ApplicationXtender Software is Retrieval Software that enables Sheriff staff to retrieve scanned images which are stored on a server. This software is used to retrieve, view images, and alter images when necessary (annotations, redactions, and deletions). Kofax-Ascent Capture Software scans documents and releases the document’s contents to the server. The contract was approved administratively by the Deputy Purchasing Agent based on the delegated authority granted by the Board of Supervisors (Board) as reflected in the County's 2021 Contract Policy Manual, Section 3.3.

 

Subsequently, in a letter to the Sheriff dated January 2, 2024 Teknita LLC (Teknita) announced that it merged with Nexlogica LLC (Nexlogica). As part of the merger, Teknita stated that it has assumed all Nexlogica’s agreements, Intellectual Property rights, and obligations. Teknita has filed a new W-9 for this agreement with the County. As part of the proposed assignment, Teknita is agreeing to provide the services in the County’s contract and agrees to defend and indemnify County for the services from April 27, 2023, through April 26, 2026.

 

Through the normal County of Orange vetting process, Teknita, has had no name changes, no judgements or litigation on public record within the last seven years.

 

Sheriff now requests Board approval of the Assignment, under Amendment Number One to enable Teknita to provide services under the original contract. All original contract terms and conditions shall remain unchanged at this time. A Contract Summary Form is uploaded as Attachment C. The Orange County Preference Policy is not applicable to this contract amendment.
