RECOMMENDED ACTION(S):
Authorize the County Procurement Officer or authorized Deputy to execute Contract with the Hospital Association of Southern California for ReddiNet Software License, Maintenance and Hardware Support Services, effective June 1, 2020, through May 31, 2023, non-renewable, in an amount not to exceed $350,000.
SUMMARY:
Approval to execute a Contract with the Hospital Association of Southern California for ReddiNet Software License, Maintenance and Hardware Support Services will assist the Health Care Agency in providing emergency medical service operations and for disaster and mass casualty incidents.
BACKGROUND INFORMATION:
The ReddiNet system, which is owned and operated by the Hospital Association of Southern California (HASC), provides 24 hours per day, seven days per week real-time communication and information sharing capability for Orange County's hospitals, ambulance providers, Orange County Communications and the Health Care Agency (HCA) for emergency medical service (EMS) operations and for disaster and mass casualty incidents.
The system is the sole method for reporting and tracking when receiving hospitals need to divert incoming patients due to Emergency Department saturation or when specialty care services, such as trauma or stroke care, are limited or unavailable. This is necessary to ensure that patients transported by ambulance are received by the closest hospital that is most ready and able to accept and care for them.
HCA seeks to contract for annual ReddiNet Software Licenses, Maintenance and Hardware Support Services (ReddiNet) for the three County ReddiNet locations (Orange County Communications, EMS Department Operations Center and the Health Strategic Operations Center).
On May 8, 2012, your Honorable Board of Supervisors (Board) approved a sole source Contract with HASC for ReddiNet in an amount not to exceed $32,450, and was subsequently approved by the Board on May 12, 2015, in the amount not to exceed $67,537.
On March 14, 2017, the Board approved sole source Contract with HASC for ReddiNet in an amount not to exceed $134,468 for a three-year consecutive term with two renewable one-year periods effective June 1, 2017.
This proposed Contract is a sole source contract and a completed Sole Source Request Form is attached to this Agenda Staff Report. HASC is the sole proprietor of the ReddiNet system and has extensive experience in working with hospitals throughout southern California. They have the unique ability to bundle their components into a sustainable system that has become the first line of emergency communications between hospitals, ambulance providers and the public health departments.
This Contract contains several provisions that limit the Contractor's liability to the contract's purchase price. This limitation of liability applies to both breach of contract claims and indemnification for third party claims against the County. CEO/Risk Management has reviewed the limitation of liability and the indemnification provisions, and has determined them to be acceptable for these services.
This Contract includes subcontractors. See Attachment C for information regarding subcontractors and Contract Summary Form.
The Contractor's performance has been confirmed as at least satisfactory. HCA has verified there are no concerns that must be addressed with respect to Contractor's ownership/name, litigation status or conflicts with County interests.
HCA requests that the Board authorize the County Procurement Officer or authorized Deputy to execute Contract No. MA-042-20010626 with HASC as referenced in the Recommended Action.
FINANCIAL IMPACT:
Appropriations for this contract are included in HCA’s Budget Control 042 FY 2019-20 Budget and will be included in the budgeting process for future years.
