RECOMMENDED ACTION(S):

 

Authorize the County Procurement Officer or authorized Deputy to execute the retroactive Assignment, Novation and Consent Agreement to transfer and assign contract for armored car services with Dunbar Armored, Inc. to Brink’s Incorporated effective August 13, 2019, through July 31, 2020.

 

 

 

 

SUMMARY:

 

Approval of the Assignment, Novation and Consent Agreement will allow the County to protect public funds and to ensure that incoming public funds to the County are being transferred safely and securely to the bank meeting the core objective of safety of public funds.

 

 

 

BACKGROUND INFORMATION:

 

Pursuant to Contract Policy Manual Section 3.3104, Board of Supervisors' (Board) approval is required when a contracted entity is released from further performance under a County contract. Brink’s Incorporated (Brink’s) purchased Dunbar Armored, Inc. (Dunbar) and acquired all Dunbar contracts effective August 13, 2019. Brink's has agreed to assume all of Dunbar’s rights and obligations under the County’s contract with Dunbar.

 

The Treasurer-Tax Collector (Treasurer) is familiar with Brink’s armored car services as they have been a contractor for the County in prior years and their service then was at least satisfactory. Brink’s is a widely recognized international provider of armored car services and has been in business for 150 years. The Treasurer also performed due diligence that included reference checks with our depository bank, Wells Fargo, on their armored car service levels for other bank customers as they do a significant amount of business for the Wells’ banking customers. These reference checks were at least satisfactory. In addition, Brink’s staff has been working with Dunbar staff and has been providing these services since July 1, 2019, so we have current evidence that the service is at least satisfactory. Based on this, the Treasurer believes that Brink’s will be able to fulfill the required armored car services under the agreement.

 

Retroactive Assignment:

This is a retroactive assignment primarily due to the fact that formal notification of the change was not received by the County prior to the effective date of the change.

 

The Treasurer recommends that the Board approve the Assignment, Novation and Consent Agreement. The Treasurer has also verified that there are no concerns that must be addressed with respect to Brink’s ownership/name, litigation status (no material items) or conflicts with County interests.
